These Terms and Conditions (“TC”) should be read by you (the “User” or “you”) in its entirety prior to your use of citizend’s service or products. You must be 18 or over to accept these TC and use the products and services. By continuing to use our products and services you are agreeing with the terms of these TC’s and agreeing to be bound by them. CitizendOperations Ltd. is a company incorporated in the British Virgin Islands, whose registered address is Floor 4, Willow House, Cricket Square, Grand Cayman KY1‐9010, BVI.
This website stgcitizend.wpenginepowered.com is owned and controlled by citizend Operations Ltd.(“citizend”, “us” or “we”). By accessing this website you are agreeing to be bound by these Terms and Conditions, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you should refrain from using or accessing this site, and any product or servicemade available by us (“Services”). Citizend may revise and update these TC at any time without notice. We advise you to check the website regularly for updates.
Citizend is a permission less and fully decentralised platform for the launch of native tokens of projects within the Polkadot/Kusama ecosystem. Citizend reserves the right to ask for documentation to determine the identity and location of an user and to carry out KYC/AML checks before giving you access to the Services. You agree to provide up to date and accurate information in order to access the Services. Citizend reserves the right to restrict access to the Services until KYC checks and successfully concluded. 1. Disclaimers
1.1. The Services are provided to you on an “as is” and on an “as available”basis. We provide no representations, warranty, promises, expressed or implied, whatsoever regarding their functionality, quality, merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights, non-infringement of third party rights, and freedom from computer virus or other harmful code;
1.2. Citizend will make its best efforts to provide a good user experience, however citizend makes no warranty that the service will be uninterrupted, timely or error-free, or that defects will be corrected;
1.3. There is a risk of losing $CTND and other funds of value when using theServices and citizend has no responsibility to you for any such loss;
1.4. Your use of the Services is at your sole option, discretion and risk;
1.5. The blockchain networks (such as Polkadot and Kusama) and Internet access services required for you to access and use the Services are entirely beyond the control of citizend and citizend shall have no liability whatsoever for any outages, slowness, capacity constraints or other deficiencies affecting the same; and
1.6. You are (i) aged 18 or over, (ii) you are of the age of majority in your jurisdiction, (iii) you are accessing the Services from a jurisdiction in which it is legal to do so, (iv) you are not a Politically Exposed Person (PEP) nor are you on any U.S. or EU Sanctions lists or terrorism finance watchlists, and (v) that you will inform citizend immediately if you enter onto one of these lists or change your residence to a prohibited jurisdiction.
2. Prohibited Uses
Prior to your use of the Services and on an ongoing basis you represent, warrant, covenant and agree that
2.1. The Services are not for use by minors and individuals under the age of 18 years or individuals who can be considered minors or under the age of majority adulthood in their specific jurisdiction. It is entirely your responsibility to ensure you comply with the age requirement in your local jurisdiction to use the Services;
2.2. The Services are intended solely for the User’s personal use. The User may not create multiple accounts, including for the purpose of collusion and/or abuse of Services;
2.3. Persons located in or residents of the United States of America, British VirginIslands, Cayman Islands, North Korea, Iran, Russia and Venezuela (the”Excluded Jurisdictions”) are not permitted to make use of the Services. For the avoidance of doubt, the foregoing restrictions on Services from Excluded Jurisdictions applies equally to residents and citizens of other nations while located in an Excluded Jurisdiction. Any attempt to circumvent these jurisdictional restrictions on usage is a breach of these TCs. Any and all value (including $CTND) of a person located in an Excluded Jurisdiction on the Services are void, and can be confiscated or may be returned to the person at citizend’s sole discretion;
2.4. The Services are not for use by minors and individuals under the age of 18 years or individuals who can be considered minors or under the age of majority adulthood in their specific jurisdiction. It is entirely your responsibility to ensure you comply with the age requirement in your local jurisdiction to use the Services;
3. Limitations and Liability
Prior to your use of the Services and on an ongoing basis you represent, warrant, covenant and agree that
3.1. In no event, including negligence, should citizend be liable for any special, consequential, incidental, direct or indirect damages whatsoever (including, but not limited to, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use (or misuse) of the Services or in any way in connection with our TC, us, or our Services, even if citizend is aware of the possibility of such damages.
3.2. Nothing in this TC shall exclude or limit citizend’s liability for (i) death or personal injury resulting from its negligence (ii) fraud or fraudulent misrepresentation; and (iii) any other liability that cannot be excluded or limited by the laws of the BVI.
4. Licence
Prior to your use of the Services and on an ongoing basis you represent, warrant, covenant and agree that
4.1. Citizend grants you a non-exclusive, personal, non-transferable licence to use the Services on your personal computer or other device that you own, control or use to access the Services. The licence is revocable at any time and subject to these TCs.
4.2. Citizend owns all Intellectual Property linked to the Services and you have no Intellectual Property rights in, or to the Services, other than the right to use them in accordance with these TCs.
4.3. You may not:
4.3.1. alter, modify, adapt, copy or reproduce the Services;
4.3.2. use the Services for commercial purposes;
4.3.3. attempt to reverse engineer any software owned by us;
4.3.4. remove or copy proprietary software and materials;
4.3.5. use the Services in any way that is prohibited by applicable laws or regulations.
5. General
This licence shall terminate automatically without notice if you fail to comply with any provision of these TCs. We reserve the right to revoke this licence and restrict your access to the Services at any time.
5.1. Citizend may assign, transfer, charge, sub-license this TC to any other party, Group company or organisation at any time.
5.2. This TC constitutes the entire terms between the User and citizend regarding the Services and each of the terms of these TC operate separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
6. Governing Law, Jurisdiction and dispute resolution
The TC and any matters relating hereto shall be governed by, and construed in accordance with, the laws of the British Virgin Islands and you irrevocably submit to the exclusive jurisdiction of the courts in the BVI in relation to any claim, dispute or difference concerning the TC and any matter arising therefrom.
